CLIKdata Subscription Terms and Master Service Agreement

Last updated: October 23, 2026

This Agreement governs subscriptions and related services provided by Integrated Media Partners, LLC DBA: CLIKdata, a Florida limited liability company (“CLIKdata,” “we,” “us,” or “our”), to the business identified in the applicable Order Form (“Customer,” “you,” or “your”). The effective date is the date Customer accepts this Agreement through an Order Form or checkout that presents and incorporates these terms. Revisions apply according to Section 11.8 and do not retroactively amend previously accepted terms.

By signing an Order Form or affirmatively accepting these terms through checkout, the accepting individual represents that they have authority to bind Customer. Customer and its authorized Users agree to comply with this Agreement. These services are offered for business use.

1 Definitions

1.1. “Access Credentials” means the usernames, passwords, tokens, keys, and other credentials used to access the Services.

1.2. “Affiliate” means an entity that controls, is controlled by, or is under common control with a party. Control means ownership of more than 50 percent of the voting interests or equivalent authority to direct management.

1.3. “API” means an application programming interface or related development resource we make available for authorized integration with the Services.

1.4. “Order Form” means a signed or electronically accepted proposal, service order, subscription checkout, or other ordering document that identifies the subscribed products, scope, prices, and applicable terms. An authorized User’s request for an additional service is an Order Form only where the applicable price and terms are disclosed and accepted.

1.5. “Services” or “CLIKdata Material” means the subscriptions, APIs, consulting, implementation, managed marketing services, documentation, and related materials specified in an Order Form. “Subscription Services” includes CLIKmed, CLIKsearch, CLIKsocial, CLIKid, CLIKAI, the app.CLIKdata.com platform, and other products expressly subscribed to by Customer. These names identify products, services, or platforms provided by Integrated Media Partners, LLC DBA: CLIKdata and do not identify separate contracting entities. Product features and deliverables depend on the applicable Order Form; subscribing to one product does not include another product.

1.6. “CRM Platforms” means CLIKmed, marketed through CLIKmed.ai, and CLIKdata’s non-medical CRM and marketing automation platform accessed through app.CLIKdata.com, including associated account portals, mobile applications, and designated successor access URLs. A URL or product name does not establish that a particular account or feature is authorized to process protected health information.

1.7. “Customer Content” means data, contact records, files, messages, creative materials, and other content supplied by or on behalf of Customer through the Services. “Users” means Customer’s authorized employees, contractors, and other account users. Customer is responsible for their compliance with this Agreement.

1.8. “Fees” means the subscription, implementation, consulting, usage, and other charges disclosed and accepted under this Agreement. “System Service Fees” means the additional CRM Platform charges described in Section 3.2.5.

1.9. “Third-Party Offerings” means independent products, platforms, integrations, networks, and services that connect with or support the Services. “Preview” means a trial, beta, or other feature identified as experimental or provided without charge.

1.10. “Confidential Information” has the meaning in Section 6. “PHI” means protected health information as defined by HIPAA. “BAA” means an applicable business associate agreement entered into between the parties. The standard BAA is available at the Business Associate Agreement page. “HIPAA” includes the applicable Privacy, Security, Breach Notification, and Enforcement Rules, as amended.

2 Access and use

2.1. Access. During the applicable subscription term, and subject to this Agreement and payment of Fees, we grant Customer and its Users a limited, non-exclusive, non-transferable right to use the subscribed Services for Customer’s internal business purposes. Resale and access by unrelated businesses require our written authorization. Services may be provided through our personnel and service providers.

2.2. Use restrictions and Customer responsibilities. Customer must comply with applicable law, the Acceptable Use Policy and applicable platform rules. Customer must not circumvent security or usage limits, interfere with operations, misappropriate intellectual property, or reverse engineer the Services except to the extent applicable law expressly permits. Customer must secure credentials, promptly report suspected unauthorized access, and provide accurate account and billing information.

Customer is responsible for the legality and accuracy of its content, offers, instructions, contact lists, and campaigns, including required consents, permissions, disclosures, opt-outs, suppression lists, calling restrictions, and recording notices. Customer must not request unlawful messaging, deceptive reviews, or prohibited advertising. Our assistance with configuration or campaign execution does not transfer Customer’s obligations to us or eliminate our own applicable legal obligations.

2.3. Third-Party Offerings. Third-party platform terms may apply to Customer’s use of those platforms. We do not control independent platform policies, approvals, rankings, ad auctions, delivery, account suspensions, or availability. Customer must maintain required accounts, access permissions, and payment methods. These provisions do not excuse our own breach or obligations for providers acting on our behalf, including applicable BAA obligations.

2.4. Changes. We may update features to maintain or improve the Services and will give reasonable advance notice of material changes where practicable. A material reduction in expressly contracted deliverables requires an agreed adjustment or another remedy available under this Agreement; it is not authorized solely by this Section.

2.5. Availability. Services may experience maintenance, outages, or third-party disruptions. Unless an Order Form expressly provides a service-level commitment, uninterrupted or error-free operation is not guaranteed. Customer should maintain appropriate exports and continuity procedures. Section 5.1.3 governs our security responsibilities.

2.6. Suspension. We may suspend affected access where reasonably necessary to address a security threat, unlawful use, a material violation, a binding legal requirement, or nonpayment under Section 3.2.4. We will limit the suspension where practicable, give notice when legally permitted, and restore access when the issue is resolved. Suspension does not eliminate properly accrued Fees and does not authorize withholding PHI contrary to law or a BAA.

2.7. APIs and AI features. Customer may use APIs only as documented and within accepted limits. Customer must review AI-generated outputs before relying on them for material decisions or public communications. AI features do not provide medical, legal, or other licensed professional advice and must not be used for emergency triage or autonomous clinical decisions. PHI may be used with an AI feature only if that feature is expressly authorized under Section 5.1.4.

3 Orders fees and payment

3.1. Order Forms. Each Order Form identifies the applicable services and becomes effective upon authorized acceptance. Added locations, features, and services require the applicable price and terms to be disclosed and accepted. A separately purchased implementation program or service does not automatically modify another subscription’s term.

3.2. Fees and payment. Customer must pay the Fees specified in its Order Form and any properly disclosed and accepted additional charges. All amounts are payable in United States dollars. CLIKsearch and CLIKsocial subscriptions are billed separately. Customer must maintain a valid credit card or an approved, verified ACH bank account for activation and recurring payments. CLIKdata issues invoices and accepts payments through its app.CLIKdata.com platform and authorized hosted invoice, checkout, and payment links, which may display FastPayDirect branding or domains. Payments are processed through Stripe or another payment provider expressly identified at checkout. FastPayDirect identifies a hosted payment-link interface and is not identified here as a separate payment processor. Use of a hosted payment link does not change the contracting party, applicable payment authorization, or Customer’s obligations under this Agreement. Any exception to the required payment arrangements requires our written approval. Subscription authorization does not authorize undisclosed charges.

3.2.1. Recurring payment authorization through Stripe. Customer may pay through the app.CLIKdata.com platform or authorized hosted payment links described in Section 3.2 using an eligible credit card or an approved ACH bank account. Customer must affirmatively authorize the selected payment method for the disclosed subscription amount, billing date, monthly frequency, and applicable additional charges. Monthly payments during the initial 120-day commitment do not shorten that commitment. Each product may have a separate billing date and charge. Setup charges must be separately disclosed.

For credit cards, Customer authorizes CLIKdata and its payment processor to save the payment method and automatically charge the disclosed monthly subscription amount on the accepted billing date and monthly thereafter while the subscription remains active, without a separate approval for each charge. This authorization includes a credit card surcharge only where disclosed, accepted, and permitted under Section 3.2.7. Additional CRM System Service Fees require acceptance of their applicable rates and billing arrangement under Section 3.2.5. Those CRM fees do not apply to CLIKsearch or CLIKsocial.

For ACH Direct Debit, Customer must complete Stripe’s bank verification and a separate ACH authorization or mandate identifying the account holder, authorized payment purposes, frequency, and fixed amount or method for determining variable amounts. Acceptance of this Agreement alone does not replace that mandate. Customer authorizes only the bank debits specified in the accepted mandate. CLIKdata will provide required mandate confirmations, payment notices, and notices of amount or timing changes, and retain authorization records as required by applicable law, Nacha rules, and processor requirements. ACH payments may take time to settle and may be returned or reversed. Initiating a payment does not establish final receipt of funds, and the invoice remains due upon receipt.

Customer represents that it is authorized to use the selected card or bank account and must keep the payment method current, sufficiently funded, and available for authorized charges. Reasonable retries of failed payments may occur only as permitted by the accepted authorization, processor requirements, applicable network or Nacha rules, and law. Returned ACH entries will not be reinitiated where prohibited or without any required new authorization. Where permitted, updated card credentials supplied by an issuer or network may be used for the same authorized payments. No returned-payment or failed-payment fee applies unless separately disclosed, accepted, and lawful. Customer will receive appropriate receipts, invoices, and required payment-failure notices.

Customer may revoke future automatic payment authorization by notifying [email protected] or using an available billing-portal control, in accordance with the accepted mandate and applicable processing rules. CLIKdata will stop future debits after effective revocation; transactions already submitted remain subject to applicable processing, stop-payment, and reversal rules. Revocation, a card replacement, or a payment failure does not itself cancel a subscription or eliminate amounts properly due. Customer must arrange another accepted payment method and follow Section 4.1 to cancel Services. Recurring charges for periods after effective subscription cancellation will cease. A later final usage charge requires continuing valid payment authorization; otherwise properly owed amounts will be invoiced. An outstanding debt does not independently authorize a debit after payment authorization has been withdrawn.

3.2.2. Invoices. All invoices are due upon receipt. Invoices will be delivered to Customer’s designated billing email or accepted billing portal. Customer must keep its billing details current. Automatic payments occur according to Customer’s accepted subscription or billing settings. Except for a credit or refund expressly required by this Agreement, an Order Form, or applicable law, Fees for services delivered and earned setup or implementation work are non-refundable. Customer has no right to withhold undisputed amounts or offset unrelated claims.

3.2.3. Billing disputes. Customer must promptly report an invoice calculation or billing error in writing, preferably within five days after receipt, identifying the invoice, disputed items, amounts, and reason. A good-faith disputed amount may be withheld while the parties reasonably investigate; undisputed amounts remain due upon receipt. The parties will promptly correct confirmed errors. This process does not waive rights that cannot lawfully be waived or prohibit a legitimate payment dispute.

3.2.4. Past due amounts. Undisputed overdue amounts accrue simple interest beginning on the fifth calendar day after the due date at the lesser of 1.5 percent per month or the maximum lawful rate, without compounding. Following written notice and ten calendar days to cure nonpayment, we may suspend affected Services or terminate for cause under Section 4.2. Customer must reimburse reasonable, documented third-party collection expenses to the extent permitted by law, excluding attorneys’ fees and litigation costs except where awarded under applicable law as provided in Section 11.13. A grace period for interest or suspension does not extend the invoice due date.

3.2.5. CRM Platform System Service Fees and rebilling. This Section applies to the CRM Platforms, including CLIKmed and app.CLIKdata.com. Unless expressly included in the applicable subscription or allowance, System Service Fees are additional to the base subscription price. They may include telephone services and numbers, SMS/MMS, email delivery and verification, carrier or messaging registration charges, premium workflow actions, AI features, messaging integrations, domain services, address services, and other optional or usage-based services disclosed before activation or use.

Customer is responsible for charges generated by Customer, its authorized Users, and automations configured or authorized on its behalf. The initial applicable rates, billing units, allowances, and recurring charges will be disclosed in the accepted Order Form, pricing schedule, or account billing interface before activation or use. Customer acknowledges and accepts that System Service Fees are variable and subject to adjustment under this Section. The 2026 CRM System Services Pricing Schedule identified in Section 12 is a pricing reference subject to those adjustments and is not a rate guarantee.

System Service Fees are billed at the disclosed customer rates, which may include our service margin and need not equal underlying provider costs. Any separately assessed rebilling or administrative surcharge must be disclosed before acceptance. An invoice alone does not establish authorization for an undisclosed surcharge.

System Service Fees may be invoiced separately, charged to the authorized payment method, or deducted from a prepaid balance as specified in the accepted billing settings. Automatic balance replenishment requires prior disclosure and acceptance of the replenishment amount and trigger. All invoices are due upon receipt. Advance balances are credited against applicable charges; charges are earned as incurred. Any remaining balance at cancellation will be reconciled under the accepted balance terms and applicable law.

Variable rates and reserved adjustment rights. Subject to applicable law and payment-processing requirements, CLIKdata reserves the right, in its sole discretion exercised in good faith, to increase, decrease, or otherwise adjust any or all System Service Fees, associated customer rates, and billing units from time to time, including during an initial or renewal subscription term. Adjustments may reflect changes in underlying provider, partner, carrier, integration, infrastructure, licensing, AI, or other service costs, as well as changes in service delivery, operating costs, or CLIKdata’s pricing and service margin. Rates are not limited to the underlying provider’s wholesale charges. CLIKdata is not required to disclose proprietary vendor agreements, acquisition costs, or margins except where legally required.

Effective rates and notice. Except where advance notice or further authorization is required by applicable law, an accepted payment mandate, or processor or payment-network rules, adjustments may take effect immediately upon posting the updated rates in Customer’s account billing interface or the applicable System Services pricing schedule, without advance or separate individual notice, a new signature, or a separately negotiated amendment. Current rates must be available through that interface or schedule before the usage to which they apply. Customer is responsible for reviewing current rates before further use. A permitted adjustment applies only to services or usage occurring on or after its effective time; it will not reprice previously incurred usage.

Customer acceptance and remedies. By affirmatively accepting this Agreement and activating the applicable system services, Customer agrees to this variable-rate mechanism and to pay the then-current rates for subsequent authorized usage, including usage generated by Customer’s Users and authorized automations. Except as required by law or expressly agreed otherwise, a rate adjustment permitted by this Section does not itself constitute a breach or give Customer a right to a refund, credit, damages, or cancellation of a separate subscription commitment. Customer may avoid additional usage charges by discontinuing the affected optional service or requesting its deactivation through the designated support process. CLIKdata will process a deactivation request reasonably promptly and confirm its effective time; Customer remains responsible for authorized charges properly incurred before deactivation. This provision does not waive a good-faith billing-error dispute, payment-authorization rights, a remedy for an adjustment outside this Section, or any right that cannot lawfully be waived.

Scope and controlling terms. This adjustment right applies to the additional CRM Platform System Service Fees for CLIKmed and app.CLIKdata.com. It does not independently change a base subscription fee, an expressly committed included allowance, an approved advertising budget, a fixed support package price, or the credit card surcharge in Section 3.2.7. An express written commitment guaranteeing a particular System Service rate for a stated period will be honored. Otherwise, this Section controls over the general advance-notice and renewal provisions in Section 11.8 for permitted System Service Fee adjustments. Required ACH, card, or other payment notices and authorizations remain applicable. Customer remains responsible for properly incurred pre-cancellation usage reported or invoiced later; no new usage may be generated on Customer’s behalf after effective termination without separate authorization.

CLIKsearch and CLIKsocial do not carry these additional System Service Fees. Where Customer also subscribes to a CRM Platform, only fees attributable to that CRM Platform fall within this Section. Separately agreed subscription fees, managed services, and advertising spend remain governed by their Order Forms.

3.2.6. Advertising platforms budgets and Customer payment responsibilities.

(a) Approved campaigns and budgets. Advertising or media spend is separate from CLIKdata subscription, management, creative, implementation, and other service fees unless an accepted Order Form expressly states otherwise. This Section applies to campaigns on Meta, TikTok, Snapchat, Pinterest, Google and Gemini, Microsoft Advertising and Bing, Reddit, OpenAI, Perplexity, and other digital advertising or media platforms, in each case only where the applicable campaign service is available and included in Customer’s accepted scope. Listing a platform does not represent that an advertising product is available on that platform or authorize a campaign on it.

Before launch, Customer must approve the campaign budget, applicable period, platform allocation or authorized allocation discretion, and any recurring renewal in the MSA, Order Form, campaign authorization, or a retained electronic approval from Customer’s authorized representative. Electronic approval may include a signed electronic document, affirmative platform acceptance, or a clear written email approval. Changes that increase the approved spending commitment require further approval. Recurring budget approval continues only for its expressly approved duration and remains subject to applicable cancellation and stop instructions. CLIKdata is authorized to configure and manage campaigns within that approval and the platform’s disclosed delivery and billing rules.

(b) Direct platform billing and authorization form. Unless a different arrangement is expressly accepted in writing, Customer must provide and maintain a valid credit card directly in each applicable advertising account for recurring, usage-based platform charges under the approved budget. Customer must complete and submit the required credit card and advertising-budget authorization form through the designated secure process before campaign activation. The authorization must identify the relevant accounts, approved budget and period, recurring-payment terms, and an authorized cardholder. Customer must also accept any payment mandate or billing terms required directly by the platform; a CLIKdata form does not replace the platform’s requirements. Card details must be supplied through the designated secure payment channel rather than ordinary email. CLIKdata’s service-fee payment authorization does not, by itself, authorize separate platform debits.

(c) Customer obligation to pay. Customer is responsible for all platform advertising charges properly incurred under its approved campaign authorization, including charges posted after a campaign pauses or ends for delivery that occurred before the stop took effect. Platforms may charge at billing thresholds or on dates different from CLIKdata’s billing dates. A daily budget may be an average rather than a strict daily charge ceiling where the platform’s disclosed rules provide for delivery fluctuations. Any delivery tolerance that can increase the total approved spending commitment must be disclosed and approved; this Section does not authorize unrestricted overspending. CLIKdata does not finance platform spend or advance funds unless expressly agreed in writing. Customer is not made responsible under this Section for spending caused by CLIKdata exceeding its authorization.

(d) Maintaining active platform billing. Customer must keep its card valid, unexpired, in good standing, sufficiently funded, and supported by sufficient available credit for the approved campaign spend. Customer is responsible for issuer permissions, fraud or transaction blocks, spending limits, authentication requests, replacement cards, and prompt correction of declined or interrupted platform payments. Customer must monitor billing notices and promptly provide updated payment details when needed. A valid card for CLIKdata’s own fees does not establish that each advertising platform’s billing method is active.

(e) Effect of payment failures. Customer acknowledges that failed, declined, reversed, disputed, or blocked platform payments can pause or reject ads, restrict an account, disrupt delivery and pacing, delay spend, affect auction participation or optimization, and reduce campaign performance. Resumption and restoration depend on the platform and are not guaranteed to be immediate. Where practicable, CLIKdata will relay payment-failure notices it receives, but does not undertake to monitor Customer’s bank or guarantee detection before the platform interrupts delivery. Customer remains responsible for promptly resolving billing issues directly with the issuer or platform and providing requested confirmations.

(f) Allocation of payment-interruption risk. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIKDATA IS NOT LIABLE FOR CAMPAIGN INTERRUPTIONS, DELAYS, UNDERDELIVERY, LOSS OF OPTIMIZATION, OR REDUCED RESULTS TO THE EXTENT CAUSED BY CUSTOMER’S FAILURE TO MAINTAIN OR AUTHORIZE ACTIVE PLATFORM BILLING, AN ISSUER’S DECLINE OR BLOCK, OR A PLATFORM’S BILLING ACTION OUTSIDE CLIKDATA’S REASONABLE CONTROL. SUCH EVENTS, BY THEMSELVES, DO NOT ENTITLE CUSTOMER TO DAMAGES, SERVICE-FEE REFUNDS, CREDITS, FREE REPLACEMENT SERVICES, OR WAIVER OF PROPERLY ACCRUED FEES. CLIKDATA DOES NOT GUARANTEE RECOVERY OF MISSED DELIVERY OR PRIOR PERFORMANCE AFTER PAYMENT IS RESTORED. THIS ALLOCATION DOES NOT EXCUSE CLIKDATA’S OWN BREACH, NEGLIGENCE, WILLFUL MISCONDUCT, UNAUTHORIZED SPENDING, OR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED. SECTION 9 OTHERWISE APPLIES.

(g) Suspension and continuing fees. CLIKdata may delay launch or pause affected work while required payment authorization is missing or platform billing is inactive, subject to applicable notice obligations. Properly accrued platform charges remain payable to the platform. Contracted management and subscription fees continue during a Customer-caused billing interruption to the extent the related Services remain available or are being performed. Any separate suspension or termination follows this Agreement. Customer must promptly communicate any instruction to change or stop an approved campaign; stopping delivery does not reverse previously incurred charges.

(h) Facebook Event services. Facebook Event services are separately contracted and billed and are not subject to this Agreement’s subscription term, automatic renewal, or subscription cancellation provisions. Their separate accepted agreement controls those matters. This Section’s advertising-budget and payment responsibilities apply only to the extent incorporated into that event agreement.

3.2.7. Credit card processing surcharge. For eligible credit card payments made to CLIKdata, the credit card processing surcharge is 2.5 percent of the amount paid, with the surcharge percentage and amount disclosed before authorization. The actual surcharge will never exceed the lowest of 2.5 percent, CLIKdata’s applicable cost of credit card acceptance as calculated under the relevant card-network rules, and any lower limit imposed by applicable law, the processor, or the card network. CLIKdata will reduce or omit the surcharge wherever required; no surcharge applies where prohibited.

The surcharge will be separately identified before payment and on the applicable receipt. It will not be imposed on debit cards, prepaid cards, or ACH payments. Customer may select an available ACH payment option to avoid this credit card surcharge. Any change to a recurring surcharge requires advance disclosure and any acceptance or notice required by the payment authorization, law, and applicable network rules. Any required processing of a refund will include the corresponding surcharge refund as required by law and network rules.

This surcharge applies only to eligible payments processed by CLIKdata. It is not a charge automatically added by CLIKdata to advertising spend billed directly by an advertising platform. Any fee imposed directly by an advertising platform is governed by that platform’s disclosed billing terms. CLIKdata will meet applicable processor, acquirer, network registration, notification, transaction-processing, and disclosure requirements before imposing a surcharge.

3.3. Taxes and withholding. Customer is responsible for applicable transaction taxes and legally imposed regulatory charges attributable to the Services, excluding taxes on our net income, property, or employees. We will honor valid exemption documentation. Government charges are distinct from our service margin or administrative fees and will not be described as government-imposed unless they are.

4 Term cancellation and termination

4.1. Subscription term and cancellation. Unless an expressly accepted Order Form specifies a different term, each subscription has an initial non-cancellable term of 120 calendar days from its stated service start date. After that term, it automatically renews monthly until properly cancelled. A monthly renewal does not restart another 120-day commitment. The initial commitment is subject to termination rights for our uncured material breach and rights required by law.

Customer may submit cancellation notice at any time by email to [email protected], identifying the business, account, and subscriptions to cancel. Cancellation becomes effective on the earliest first day of a calendar month that is both after the initial 120-day term has ended and at least 30 calendar days after delivery of the notice, unless Customer requests a later eligible date. An acknowledgment is helpful but is not a condition of valid notice. Services and applicable Fees continue until the effective cancellation date.

Billing cycles and any partial final period must be explained in the applicable Order Form; a partial final period is billed proportionately to the effective cancellation date. Cancelling one product does not cancel another unless the notice identifies both. An added location joins the existing subscription term only if its accepted Order Form states that result. No separate late cancellation penalty applies.

4.2. Termination for cause. Either party may terminate affected Services for a material breach that remains uncured 30 calendar days after written notice describing the breach, except that nonpayment has the ten-day cure period in Section 3.2.4. Immediate suspension or termination may be used where required by law or reasonably necessary to stop unlawful activity or a material security threat that cannot safely await cure. BAA termination rights apply independently to PHI-related breaches. Customer remains liable for properly accrued Fees; unearned prepaid service fees for periods after termination caused by our uncured material breach will be refunded. This provision does not create an automatic acceleration of future unearned Fees.

4.3. Effect of termination and data transition. Service access ends on the effective termination date, subject to required transition access and BAA obligations. Customer must pay outstanding earned Fees, including delayed usage charges. Customer may request a standard export of available Customer Content within 30 calendar days after termination, and we will provide it in a commonly accessible format. Custom migration work requires a separately accepted scope and fee. We may delete ordinary Customer Content after that period, except where retention is required by law or an applicable agreement. Retained backups remain protected and are removed under applicable retention procedures. PHI return, access, retention, and destruction are governed by the BAA and applicable law rather than this general deletion period. A Customer Content export excludes CLIKdata Proprietary Materials under Section 5.2, including snapshots, prompts, automations, workflows, and configuration logic. We will separate available Customer Content from those components and provide the content and information reasonably necessary to interpret its exported fields, without transferring the underlying proprietary implementation. Migration assistance, an account transfer, or third-party administrator access does not include a license to those components unless expressly granted in a written agreement signed by CLIKdata. These exclusions do not limit any mandatory Customer Content or PHI access, return, or portability obligation.

4.4. Notices. Send subscription cancellation notices to [email protected]. Send other contractual notices to [email protected] or an address designated in a signed Order Form. A BAA’s incident reporting and notice provisions control for PHI matters.

4.5. Survival. Provisions concerning accrued payment, permitted data retention, confidentiality, ownership, indemnification, liability limitations, dispute resolution, and other obligations intended by their nature to survive remain effective after termination. Applicable BAA protections continue for as long as required under that BAA and law.

5 Intellectual property data and healthcare

5.1.1. Customer Content. Customer retains ownership of its Customer Content and represents that it has the rights needed for its authorized use. Customer grants us a limited license to host, copy, transmit, format, and otherwise process that content only as necessary to provide, support, secure, and administer the contracted Services and comply with law. We may use providers for those purposes subject to applicable confidentiality, security, and BAA obligations.

5.1.2. Operational data. We may use aggregated, de-identified operational statistics to maintain and improve our Services where legally permitted, without identifying Customer or an individual. This permission does not authorize the sale of identifiable Customer Content, independent advertising uses of patient information, or training general-purpose AI models on Customer Content. De-identification or use of PHI-derived information requires authorization under the applicable BAA and compliance with HIPAA; a general reference to anonymous data is insufficient.

5.1.3. Privacy and security. We will maintain commercially reasonable administrative, technical, and physical safeguards appropriate to the contracted Services and comply with security obligations imposed on us by applicable law and any BAA. Customer must maintain appropriate account access controls, manage its Users, and securely configure its own devices and integrations. Our Privacy Policy does not expand the uses of PHI permitted by a BAA or eliminate contractual security duties. No disclaimer in this Agreement excuses our breach of those duties.

5.1.4. Healthcare data and BAA. The standard CLIKmed Business Associate Agreement is available at for review. Where our performance involves creating, receiving, maintaining, or transmitting PHI on behalf of Customer in a capacity requiring a BAA, the parties must enter into an applicable BAA before that processing begins. The BAA will identify the parties, permitted services and uses, required safeguards, reporting obligations, subcontractor protections, assistance with individual rights, and return or destruction requirements. It is incorporated into this Agreement and controls over inconsistent terms concerning PHI, including data licenses, retention, security, suspension, and termination. An Order Form may not override mandatory HIPAA duties.

Customer must not submit PHI to an account, feature, integration, AI service, or communication channel unless it has been expressly designated as authorized for that use and required safeguards and agreements are in place. CLIKmed branding, a subscription purchase, a website BAA link, or the non-medical platform’s availability does not itself establish that coverage. We will enter into required agreements with subcontractors processing PHI on our behalf. These requirements allocate responsibilities and do not eliminate either party’s direct legal obligations.

5.2. CLIKdata and third-party property. As between the parties, Integrated Media Partners, LLC DBA: CLIKdata retains all rights, title, and interest in the CLIKdata Proprietary Materials defined below, including CLIKdata-created configurations and improvements developed or adapted for Customer during the Services. Our licensors retain their respective rights in third-party materials. No ownership of underlying third-party software is represented or transferred. Customer receives only the limited use rights expressly granted by this Agreement. Subscription, implementation, setup, customization, consulting, or usage payments purchase the specified access or services; they do not purchase or transfer the platform, a snapshot, source materials, or intellectual property. No work-made-for-hire status or assignment is created by payment, configuration within Customer’s account, or delivery of access. Any transfer of identified CLIKdata Proprietary Materials requires a separately negotiated written agreement signed by CLIKdata that expressly identifies those materials and the rights transferred. Customer Content remains Customer’s property under Section 5.1.1.

5.2.1. CLIKdata Proprietary Materials. This term means the nonpublic platform implementations, reusable components, and other materials created, owned, or licensed by CLIKdata and supplied, configured, or made accessible in connection with the Services, including CRM snapshots and account blueprints; AI system prompts, instruction sets, prompt libraries, and orchestration; decision trees, rules, logic, scripts, code, and integration configurations; custom value definitions, configuration mappings, custom object schemas, and data models; automations, workflows, triggers, sequences, templates, and playbooks; and CLIKdata’s business, marketing, and technology methodologies, documentation, and combinations or arrangements of these materials. It includes CLIKdata-created adaptations, enhancements, and configurations of those materials for Customer, whether created before or during the engagement. It excludes Customer Content, Customer’s own independently developed materials supplied to us, and third-party materials to the extent owned by their respective owners. Customer’s actual business details, populated custom values, contact and transaction records, and other Customer Content do not become our property because they are stored within a proprietary schema, object, prompt, or workflow. General ideas, public information, and independently developed methods are not made exclusively ours by this definition.

5.2.2. Limited access license; no export or replication. During the applicable paid subscription term, Customer and its authorized Users may access and operate CLIKdata Proprietary Materials only within the subscribed Services for Customer’s internal business purposes and only through permitted controls. This is a limited, non-exclusive, non-transferable license, with no right to sublicense, detach, or use those materials on another account, system, or provider. Except with CLIKdata’s prior written authorization or where applicable law expressly prohibits the restriction, Customer must not, directly or through another person: export, download, extract, clone, copy, reproduce, share, sell, sublicense, transfer, or migrate a proprietary snapshot or other CLIKdata Proprietary Materials; recreate or commission a materially equivalent implementation using those materials or our Confidential Information; extract or reconstruct hidden prompts, logic, rules, schemas, or configurations through APIs, account transfers, screenshots, scraping, AI tools, or other means; or upload those materials to another AI service, model-training process, repository, or competing platform. Customer must not provide a successor vendor, consultant, or other third party access for those purposes. Authorized operation and configuration through permitted controls do not grant a right to replicate or remove the underlying implementation. Availability of a platform export, sharing, snapshot, or account-transfer feature does not itself authorize its use for CLIKdata Proprietary Materials.

5.2.3. Cancellation and transition. The license in Section 5.2.2 ends when the applicable Services terminate, except for transition access expressly authorized in writing. Customer has no right to take, retain for operational use, transfer, or require delivery of CLIKdata Proprietary Materials upon cancellation, nonrenewal, termination, or migration. A subscription cancellation does not require CLIKdata to release or transfer an account or subaccount containing those materials. CLIKdata may disable or remove its proprietary components while preserving required access to and export of Customer Content. Customer must stop using the materials and, within ten business days after termination or our written request following unauthorized disclosure, delete or return unauthorized copies within its possession or control and confirm compliance in writing upon request. Copies required by law or held in inaccessible routine backups may be retained only for the required retention period or ordinary backup cycle, must remain protected, and may not be restored for operational use. Customer Content exports and any legally required PHI access, return, or retention remain governed by Section 4.3 and the BAA. No removal or restriction may prevent those obligations from being met. These use, copying, disclosure, and retention restrictions survive termination; confidentiality protection continues as stated in Section 6.

5.2.4. Authorized deliverables and enforcement. Customer-facing campaign outputs and separately commissioned deliverables remain governed by their expressly accepted ownership and license terms, but delivery of an output does not transfer the underlying prompt, workflow, methodology, or reusable implementation. Customer may independently develop its own systems without copying or using CLIKdata Proprietary Materials or breaching confidentiality. Unauthorized extraction, replication, transfer, or disclosure is a material breach and may result in suspension under Section 2.6 and termination under Section 4.2. CLIKdata may seek injunctive or other equitable relief, in addition to available contractual remedies, subject to the applicable court’s requirements. This Section does not create exclusive rights in unprotectable public ideas or restrict rights that applicable law makes nonwaivable.

5.2.5. SURGE Growth System and R6 Framework. The “SURGE Growth System” or “SURGE” is CLIKdata’s separately purchased, fully managed, done-for-you implementation program available for both CLIKmed and the non-medical CRM Platform at app.CLIKdata.com, as identified in the accepted Order Form. It comprises onboarding, setup, training, custom system development, and SURGE R6-aligned playbook and system-wide implementation, together with integrations and other implementation work expressly included in the selected package and accepted Order Form. The “R6 Framework” is CLIKdata’s framework for organizing marketing and business implementation around Reach, Remarketing, Resell, Readiness, Reputation, and Reliability. SURGE applies the applicable R6-aligned playbooks and proprietary system components within the subscribed Services. References to “custom system development” or “system-wide implementation” describe the agreed implementation scope; they do not convey ownership, source materials, unrestricted development services, or rights in every available feature or integration. Implementation program; no guaranteed results. SURGE is a custom onboarding, setup, integration, training, system development, and launch program. Purchase of SURGE does not, by itself, include ongoing marketing management, advertising campaign execution, media buying, or advertising spend. Any such services require a separately accepted scope. CLIKdata does not guarantee any particular performance, lead volume, appointments, conversions, sales, revenue, profitability, return on investment, or other business result from SURGE, the R6 Framework, or the installed systems. Examples, projections, and prior results are illustrative and are not guarantees. These provisions do not excuse CLIKdata’s obligation to perform the expressly agreed implementation services.

The R6 Service Alignment Tool illustrates platform capabilities and their alignment with the R6 Framework. Its asterisk identifies items included in the referenced SURGE program; unmarked capabilities and separately identified add-ons are not automatically included. Any version incorporated into an Order Form must be identified and made available before acceptance. The accepted Order Form and incorporated scope define the selected package, included services, deliverables, implementation period, fees, and payment schedule. The reference program is described as a 90-day fast-start launch; a different implementation period must be expressly agreed in the Order Form. An implementation period is distinct from the underlying subscription commitment and does not shorten it. Neither the framework nor the alignment tool guarantees business results, incorporates every listed capability into a package, or includes separately purchased products, managed services, advertising spend, third-party subscriptions, or System Service Fees unless expressly stated. SURGE implementation fees are separate from recurring subscription fees and applicable System Service Fees unless expressly included in the Order Form. Installation or configuration of proprietary snapshots, AI prompts, logic, custom value definitions, custom object schemas, automations, workflows, playbooks, or business, marketing, and technology methodologies remains governed by Sections 5.2 through 5.2.4; the separate SURGE fee does not transfer those materials or expand the limited license.

Customer acknowledges that SURGE Growth System fees compensate CLIKdata for the agreed implementation services, expertise, setup, onboarding, integration, training, and deployment of the selected system within the subscribed Services. Those fees do not constitute a purchase, buyout, assignment, perpetual license, or entitlement to export, replicate, transfer, or retain CLIKdata Proprietary Materials for use after cancellation. Installation within Customer’s account, customization for Customer, completion of training, or payment in full does not transfer ownership or create a right to move the implementation to another account or provider. Access to and operation of installed proprietary components remain subject to an active subscription and Section 5.2.2. On cancellation, nonrenewal, or termination, Section 5.2.3 applies, including the prohibition on taking the underlying snapshots, prompts, workflows, automations, R6-aligned playbooks, R6 Framework materials, and proprietary implementations or methodologies. Customer retains its Customer Content and the applicable export and PHI rights described in Section 4.3 and the BAA. Any separately negotiated transfer of specified proprietary materials must satisfy Section 5.2; a general promise to “set up,” “install,” “customize,” or “deliver” the SURGE Growth System does not constitute such a transfer. Refunds and payment obligations remain governed by the accepted Order Form and this Agreement, including applicable remedies for CLIKdata’s breach; these ownership provisions do not create an additional cancellation penalty.

5.3. Feedback. Customer may voluntarily provide suggestions, and we may use them without compensation. This does not grant rights to Customer’s confidential information, identifiable Customer Content, or PHI.

6 Confidentiality

6.1. Scope. Confidential Information includes nonpublic business, technical, pricing, security, account, and personal information disclosed in connection with the Services that is marked confidential or reasonably should be understood as confidential. It excludes information the receiving party can demonstrate was lawfully known without restriction, independently developed, lawfully received without restriction from another source, or publicly available without breach. Nonpublic CLIKdata Proprietary Materials, including snapshots, prompts, logic, configurations, workflows, automations, playbooks, and implementation methods, are CLIKdata Confidential Information whether or not individually marked. Access through Customer’s account or administrative permissions does not make them public or authorize disclosure or export. Customer must limit access to authorized Users with a legitimate need to operate the Services and confidentiality obligations at least as protective as this Section, and promptly notify us of suspected unauthorized access, copying, or disclosure. The exclusions above remain applicable; trade-secret protection applies only to information meeting applicable legal requirements.

6.2. Protection. Each party will use the other’s Confidential Information only to perform or exercise rights under the Agreement, protect it with reasonable care, and disclose it only to personnel and providers with a need to know and appropriate confidentiality obligations. These duties continue for three years after termination, indefinitely for protected trade secrets, and for personal information and PHI as long as required by applicable law or a BAA.

6.3. Required disclosure. A party may disclose information as legally required, giving advance notice where lawful and reasonable assistance at the requesting party’s expense. Disclosure must be limited to what is legally required. PHI disclosures remain subject to the BAA and HIPAA.

6.4. Provider relationships. Customer must not use our Confidential Information to impersonate us, obtain our nonpublic supplier credentials or pricing without authorization, or induce a provider to breach its agreement with us. This does not restrict Customer from independently choosing or contracting with another provider using lawfully obtained information.

7 Warranties and disclaimers

We will perform managed and consulting services with reasonable care and skill and in material accordance with the accepted scope. Customer must promptly identify material deficiencies so we can reasonably correct them. Express BAA and security obligations remain in effect.

Except for express commitments in this Agreement, an Order Form, or a BAA, Services and Third-Party Offerings are provided as available, and implied warranties are disclaimed to the extent permitted by law. We do not guarantee particular rankings, AI citations, reviews, ad approvals, delivery rates, leads, appointments, sales, revenue, or clinical outcomes. Performance depends in part on third-party platforms, market conditions, Customer inputs, and Customer follow-through. No disclaimer limits a duty that cannot lawfully be limited.

8 Indemnification

8.1. Customer-funded defense and procedure. Customer must promptly assume and fund the defense of a third-party claim covered by Section 8.2 upon CLIKdata’s written tender, using qualified counsel reasonably acceptable to CLIKdata. The duty to defend applies to claims alleging facts that, if true, fall within Section 8.2, even if those allegations are disputed, and is separate from the duty to indemnify. Customer must pay reasonable covered defense costs as incurred, rather than requiring CLIKdata to fund the defense until final judgment. CLIKdata will promptly notify Customer and reasonably cooperate at Customer’s expense; delay reduces Customer’s obligation only to the extent it materially prejudices the defense. Customer may control the defense, subject to CLIKdata’s reasonable oversight. A settlement requires CLIKdata’s prior written consent unless it provides a complete unconditional release of the protected parties, requires no admission or nonmonetary obligation from them, and is paid entirely by Customer. If Customer fails to provide a timely adequate defense or a material conflict prevents common representation, CLIKdata may retain reasonably necessary separate counsel and recover reasonable covered defense costs. Voluntary additional counsel otherwise retained solely at CLIKdata’s election is at CLIKdata’s expense. For mixed covered and excluded claims, reasonable common defense costs will be funded to the extent attributable to covered matters, with equitable allocation and adjustment when responsibility is resolved; excluded liability is not shifted to Customer by this procedure.

8.2. Customer indemnity. To the extent permitted by law, Customer will defend, indemnify, and hold harmless CLIKdata, its Affiliates, and their respective officers, directors, employees, and agents against third-party claims, actions, and proceedings arising from or relating to Customer Content, products, services, offers, advertising representations, or materials infringing rights or violating law; Customer’s failure to obtain required permissions or consents or honor opt-outs, suppression requirements, privacy duties, or calling and messaging restrictions; Customer’s unlawful or unauthorized instructions, campaigns, use of the Services, or platform activity; or Customer’s or its Users’ material breach of Sections 2, 5.2, or 6, including unauthorized extraction, replication, transfer, or disclosure of proprietary materials. Covered amounts include resulting judgments, settlements permitted under Section 8.1, and reasonable attorneys’ fees, defense costs, and litigation expenses. Fines and penalties are included only to the extent legally indemnifiable. Customer’s obligations do not extend to the portion caused by CLIKdata’s breach of this Agreement, negligence, gross negligence, fraud, or willful misconduct, or to liability that law prohibits shifting. This provision does not require indemnification for CLIKdata’s own negligence. A customer complaint or demand against CLIKdata is a direct dispute, not a third-party claim indemnified solely because the parties disagree.

8.3. No reciprocal contractual indemnity. CLIKdata does not undertake a contractual duty under this Agreement to defend, indemnify, or hold harmless Customer or to pay Customer’s attorneys’ fees, defense costs, settlements, or third-party liabilities. Any different undertaking must be expressly stated in a separately negotiated written agreement signed by CLIKdata. This provision does not eliminate liability or remedies otherwise available for CLIKdata’s breach, create immunity from direct claims, override an applicable BAA, or waive obligations or liabilities that applicable law makes nonwaivable. Any otherwise recoverable liability remains subject to Section 9 to the extent lawful.

8.4. Scope and liability limits. Section 8 concerns third-party claims and does not create a prevailing-party fee right in direct disputes between the parties. Customer’s defense, indemnification, and hold-harmless obligations under this Section are not limited by the liability cap or damages exclusions protecting CLIKdata in Section 9. Those obligations remain subject to Section 8.2’s exclusions and applicable law. An applicable BAA controls conflicts concerning PHI and HIPAA duties and does not create an indemnity unless expressly stated.

9 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIKDATA’S AND ITS AFFILIATES’ TOTAL AGGREGATE LIABILITY ARISING FROM THE AGREEMENT WILL NOT EXCEED THE FEES CUSTOMER PAID OR OWES FOR THE AFFECTED SERVICES FOR THE TWELVE MONTHS BEFORE THE EVENT FIRST GIVING RISE TO THE CLAIM. FOR A FREE PREVIEW, THE CAP IS TEN US DOLLARS. MULTIPLE CLAIMS DO NOT MULTIPLY THE CAP.

TO THE SAME EXTENT, CLIKDATA WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, BUSINESS, OR GOODWILL ARISING FROM THE AGREEMENT. DIRECT DAMAGES OTHERWISE RECOVERABLE REMAIN SUBJECT TO THE CAP.

These limitations do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law prohibits limiting. They do not restrict government enforcement powers, individual statutory rights that cannot be waived, or either party’s mandatory HIPAA duties. Any different allocation expressly agreed in a BAA controls for its subject matter. Customer’s obligation to pay properly incurred Fees is not reduced by this Section. Customer’s defense, indemnification, and hold-harmless obligations under Section 8 are also outside the cap and damages exclusions protecting CLIKdata, subject to Section 8.2’s exclusions and applicable law. Attorneys’ fees and litigation costs in direct disputes are governed by Section 11.13; the liability cap does not itself authorize a fee award or override a mandatory award.

10 Previews

Previews may contain defects, may be changed or discontinued, and carry no promise of future commercial availability. Except for obligations that cannot lawfully be disclaimed, they are provided as is and as available. Customer must not place PHI in a Preview without express authorization under an applicable BAA. Any paid conversion requires disclosure and acceptance of the applicable charges.

11 General terms

11.1. Independent contractors. The parties are independent contractors; neither may bind the other except as expressly authorized. No partnership, employment relationship, or fiduciary relationship is created.

11.2. Interpretation. Headings aid navigation and do not change meaning. References to this Agreement include properly incorporated schedules and addenda. No construction against a drafter is intended to override applicable mandatory law.

11.3. Incorporated documents. Applicable Order Forms, the Acceptable Use Policy, the Consulting Terms for consulting work, accepted pricing schedules, and any BAA form part of this Agreement to the extent applicable. Incorporated policies cannot authorize charges or PHI uses that this Agreement requires to be separately disclosed or accepted.

11.4. Entire agreement and precedence. The applicable BAA controls conflicts concerning PHI and HIPAA obligations. A separately negotiated signed addendum controls the matters it expressly modifies. Next, an accepted Order Form controls its specific scope, commercial terms, and expressly identified exceptions; these terms control general subscription matters; the Consulting Terms control consulting-specific matters; other incorporated policies and schedules apply consistently with those documents. All invoices remain due upon receipt unless a later written amendment expressly identifies and overrides that requirement. This Agreement supersedes prior discussions on its subject matter without retroactively amending existing agreements without the required notice or acceptance.

11.5. Assignment. Neither party may assign the Agreement without the other’s consent, not unreasonably withheld, except to an Affiliate or successor in a merger, reorganization, or sale of substantially all relevant assets upon notice and written assumption of obligations. Assignment does not remove obligations accrued before assignment. BAA restrictions continue to apply.

11.6. Notices. Contractual notices may be delivered to the addresses in Section 4.4 or the current Order Form by email, personal delivery, or recognized courier. Email notice is effective when delivered to the designated address without a failure notice, subject to contrary evidence of nondelivery; courier or personal notice is effective on receipt. Customer must maintain a current notice email. A BAA’s specific incident notice methods and timing control over this general rule.

11.7. Third-party beneficiaries. No third party receives contractual enforcement rights unless an applicable signed agreement expressly provides otherwise. This does not eliminate statutory rights or the protections expressly granted to indemnified persons under Section 8.

11.8. Amendments and pricing notice. Updated general terms will be posted at our Subscriptions Terms and Master Service Agreement page with a revision date. Except for System Service Fee adjustments governed by Section 3.2.5, material changes require direct advance notice and take effect no earlier than the next renewal occurring at least 30 calendar days after notice, unless Customer expressly accepts an earlier date or a change is legally required sooner. They do not retroactively authorize charges or override negotiated commitments or a BAA. If Customer rejects such a material modification before it takes effect, Customer may end the affected renewal before that modification applies without an extra cancellation penalty. General subscription pricing changes follow this notice rule. The separate timing, notice, acceptance, and remedy provisions of Section 3.2.5 control permitted System Service Fee adjustments; they are not subject to this Section’s 30-day notice or special nonrenewal option. BAA amendments follow the BAA’s own amendment requirements.

11.9. Waiver. A waiver must be in writing. A delay in enforcement is not a waiver of future enforcement.

11.10. Severability. An unenforceable provision will be limited or severed to the extent permitted by law, leaving the remaining agreement effective.

11.11. Legal compliance. Each party must comply with applicable law, including applicable export restrictions and privacy obligations in its performance. Customer

must not use the Services for a prohibited destination or end user.

11.12. Public references. We may identify Customer by name and logo in a factual customer list unless Customer requests removal in writing. Case studies, performance claims, testimonials, PHI disclosures, and implied endorsements require separate authorization. Customer grants no rights to patient identities or information through this provision.

11.13. Florida law and venue. Florida law governs, excluding conflict-of-law rules, subject to controlling federal law. Proceedings must be brought in the state courts in Pinellas County, Florida, or the United States District Court for the Middle District of Florida with jurisdiction over the dispute. Each party consents to personal jurisdiction there. In direct disputes between the parties arising from or relating to this Agreement, each party bears its own attorneys’ fees and litigation expenses, except to the extent an award is required by applicable law or court rule or otherwise cannot lawfully be excluded. This Agreement creates no contractual prevailing-party entitlement to those fees or expenses, including in collection or enforcement proceedings. This allocation does not affect Customer’s duty to fund covered third-party defenses and indemnified amounts under Section 8, and does not prohibit a court from imposing mandatory costs or sanctions. Service of process must comply with applicable procedural law.

11.14. Events beyond reasonable control. Neither party is responsible for delay caused by events beyond its reasonable control if it uses reasonable efforts to mitigate and resume performance. This does not excuse accrued payment, required confidentiality, mandatory security or incident-response duties, or a failure caused by the affected party’s breach. A cyber incident is not automatically excused merely because a third party caused it.

11.15. Service agreement. This is an agreement for services, not a sale of goods. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11.16. Claims. Applicable statutory limitation periods govern claims. Nothing in this Agreement shortens a period that applicable law prohibits shortening or restricts regulatory reporting or enforcement.

11.17. Electronic acceptance. Electronic signatures and affirmative checkout acceptance may form this Agreement. Customer must have an opportunity to review and retain the terms before acceptance. Each party may rely on counterparts and electronic records. Mere website browsing is not substituted for the affirmative acceptance required by this Agreement.

12 2026 CRM System Services Pricing Schedule

The 2026 System Services Pricing Schedule covers the CRM Platforms defined in Section 1.6, including CLIKmed and the non-medical platform at app.CLIKdata.com. It is subject to the disclosure, billing, and prospective rate-change provisions in Section 3.2.5 and does not impose System Service Fees on CLIKsearch or CLIKsocial.

The 2026 CRM System Services Pricing Schedule is incorporated as a pricing reference subject to Section 3.2.5. The applicable customer rates and billing units are the then-current rates made available through Customer’s account billing interface or the applicable System Services pricing schedule, as adjusted under that Section. Publication of the 2026 schedule does not guarantee unchanged rates. Express written rate guarantees remain enforceable for their stated period. The general notice period in Section 11.8 does not apply to permitted System Service Fee adjustments. Payment authorizations and any mandatory notices remain governed by Section 3 and applicable requirements.
